By downloading, accessing, registering, or using the “Pláticas Profundas” app for Counselors (the “App”), you accept these Terms and Conditions and the policies published on the Website and/or within the App (including the Privacy Notice and the Counselor Operating Policy), which form part of these Terms by reference.

You are an independent third party. There is no employment relationship, agency, mandate, franchise, partnership, or representation with the Platform. You are responsible for your conduct and for legal and professional compliance applicable to you.

The Platform is not clinical therapy, medical care, or emergency services. If you identify imminent risk or an emergency, instruct the Client to contact local emergency services.

You must provide truthful, accurate, and up-to-date information (including photo, bio, specialties, language, location, certifications). We may request documentation and verifications to operate the Platform. The Platform may review information, but does not guarantee accuracy, validity, or suitability to third parties.

Sessions take place via audio or video. The Platform does not record Sessions. We may retain operational metadata and minimal records for security, audit, Platform integrity, and fraud prevention.

Prohibited conduct includes, among others:

• harassment, threats, hate, or discrimination;
• explicit sexual content, exploitation, or inappropriate conduct;
• fraud, impersonation, or system manipulation;
• requesting, promoting, or instructing illegal activities;
• attempting to record, intercept, or compromise communications without authorization;
• requesting payments outside the Platform when the Platform prohibits or limits it.

The Platform may apply enforcement measures, including suspensions or account termination, when reasonably necessary.

If you have access to Client data, you agree to:

• use it only to operate Sessions within the App;
• maintain confidentiality;
• not copy, sell, disclose, or use data for unrelated purposes;
• not contact outside the Platform unless expressly and legally authorized;
• comply with applicable privacy and data protection laws.

Current rules on punctuality, no-show, cancellations, consequences, and operating measures are described in the Counselor Operating Policy and, when applicable, the Cancellations Policy (Clients), incorporated by reference.

We may suspend, limit, deactivate, or terminate Counselor accounts when reasonably necessary for security, compliance, investigation, Platform integrity, quality, risk, reports, or fraud/abuse prevention.

The Platform does not guarantee continuous availability, a certain number of Clients, or specific results.

You are responsible for your conduct, Session content, communications, and applicable legal/professional compliance. Any claim related to your conduct is your responsibility.

To the maximum extent permitted by law, the Platform will not be responsible for claims arising from Session content or interactions between Counselors and Clients.

You agree to indemnify and hold harmless Vestvired MB, S.A. de C.V. from claims arising from: (i) your conduct, (ii) your breach of these Terms, or (iii) violation of law or third-party rights.

We will first attempt to resolve disputes through internal support. If not resolved, Chihuahua, Mexico, unless applicable law provides a different mechanism.

Force majeure, assignment, severability, no waiver, entire agreement, and survival.
