TERMS AND CONDITIONS — USER APPLICATION

Platicas Profundas · Mexico
Version MX-2026.10.04 · Last updated: October 4, 2026

1. Operator, contact information, and territorial scope

The Platicas Profundas application for Users, its website, and the related technology services (the “Platform”) are operated by Vestvired MB, S.A. de C.V., with address at Valle del General number 5816, Lomas del Valle II, Postal Code 31216, Chihuahua, Chihuahua, Mexico (“Platicas,” “Vestvired,” or “we”). Platicas Profundas is the trade name of the Platform; the legal entity entering into this agreement is Vestvired MB, S.A. de C.V.

Customer service, inquiries, and privacy email: admin@platicasprofundas.com. Official website: platicasprofundas.com.

The offering is directed exclusively to adults who use the service in Mexico. Under these Terms, we do not offer services intended for other markets. The technical availability of the App outside Mexico, an additional language, or international data processing does not expand the territory of the offering. We may restrict new operations outside the authorized territory.

2. Acceptance and applicable documents

These Terms govern the account, reservations, Sessions, and features used by the individual user (“User” or “you”). They are accepted through the electronic manifestation of assent presented for contracting. Acceptance of this agreement and consent to certain processing of data are separate acts: accepting the Terms does not replace specific consent that must be obtained separately.

The specific reservation conditions shown and accepted before confirmation form part of the agreement. Personal information is processed in accordance with the Comprehensive Privacy Notice — Users. The cancellation, rescheduling, Session Credit, and refund rules are incorporated into this document; you do not need to accept an unidentified operating policy in order to know them.

We may retain data messages and lawfully obtained evidence to substantiate contracting and transactions. Their evidentiary value will be that provided by law. A future amendment does not retroactively change the conditions of a reservation already contracted.

3. Age, identity, and personal account

You must be at least 18 years old, have legal capacity to contract, and provide truthful and current information. The account is personal. You may not create it for a minor, impersonate another person, lend access, or allow anyone to participate using your identity.

You must protect your credentials and devices, use the available security mechanisms, and report unauthorized access. You are responsible for transactions and damages attributable to your conduct or breach, not merely because a transaction appears associated with your account.

We may request relevant proof of identity, age, or ownership of a transaction and temporarily limit access while we resolve a substantiated suspicion. The information requested must be related to the verification that is necessary.

4. Contracted service and intermediary role

Platicas facilitates profile searches, availability inquiries, reservations, collection of payment, audio or video communication, incident management, and other expressly available features. A “Session” is the live conversation space reserved with an independent person who participates as a spiritual counselor (“Counselor”).

Platicas provides technology, administrative, and intermediary services; it does not itself provide the Counselor’s personal accompaniment or adopt the Counselor’s opinions. The Session price is paid in full to Platicas for the Platform services connected with that reservation. The Counselor participates voluntarily and does not receive from Platicas any portion of that price or any payment for conducting the Session. Subsequent voluntary contributions are governed separately in Section 13.

Intermediation does not make Platicas a guarantor of the Counselor’s conduct, beliefs, statements, abilities, or results. Nor does it eliminate obligations that apply directly to Platicas for its own service, collection of payment, or processing of data.

5. Counselor independence and selection

Each Counselor participates under their own judgment and is responsible for their acts, statements, and compliance with the rules applicable to their activity. A Counselor has no authority to represent Vestvired, offer guarantees on its behalf, modify prices or policies, or bind it vis-à-vis third parties.

The descriptions, experience, training, and other statements in a profile come from the Counselor. Approval, document review, badges, ratings, or continued presence of a profile do not constitute a professional license, clinical certification, exhaustive background investigation, personalized recommendation, or guarantee of safety or compatibility.

Selection is the User’s responsibility. The ordering of results and Platform suggestions facilitate the search; they are not a determination as to which person is suitable for your situation. You may report information that you consider false, dangerous, or inconsistent with these rules.

6. Spiritual accompaniment, not clinical care or emergency services

Sessions are spaces for listening, conversation, and spiritual or human accompaniment. They are not therapy, psychotherapy, clinical psychological consultation, psychiatry, medicine, diagnosis, treatment, or prescription. Nor do they replace legal, tax, financial, or other regulated professional advice.

A credential or profession mentioned by a Counselor does not alter the non-clinical scope of the service contracted here. No cure, improvement, relief, solution to problems, religious compatibility, or specific personal result is promised. A difference of opinion or the absence of a subjective result does not, by itself, establish a breach.

You must not discontinue treatments, disregard professional instructions, or make risky decisions based solely on a Session or AI-generated text. You may refuse to answer questions or end a conversation that you consider inappropriate and report the incident to support.

The Platform does not provide continuous monitoring, crisis intervention, or immediate response. In an emergency or immediate danger, call 911 or go to local emergency services. A report in the App or an email to support does not replace that call and does not mean that a rescue service is being provided.

7. Reservations, duration, and technical requirements

The reservation identifies the Counselor, date, time, duration, modality, and applicable amount. The ordinary duration is approximately 45 minutes, unless a different duration is expressly offered for a reservation. Operational intervals between appointments do not extend the contracted time.

Times are presented according to the time zone used by the App. Verify the time shown in your reservation and your device settings, especially if you travel or change time zones. The system timestamp is used to determine advance notice, attendance, and changes, subject to clarification if there is an error.

You need a compatible device, connection, battery, camera or microphone permissions when applicable, and an appropriate space. The cost of your equipment, connection, and telecommunications services is your responsibility. The Platform may require security or compatibility updates that are necessary.

Selecting a time slot or attempting a payment does not by itself constitute confirmation. The reservation is confirmed when the system validly records the payment or the application of a Session Credit. If the charge is completed but the reservation is not confirmed, request from support the clarification and recovery that applies.

8. Price and payment processing

Each reservation requires a one-time payment or an eligible Session Credit. The binding amount is the total price in Mexican pesos shown and accepted before payment, including the taxes and charges applicable to the transaction. Additional charges from your bank or services contracted by you are not charges imposed by Platicas.

The current model does not involve a subscription, automatic renewal, purchase of tokens, or deposit of a balance. A different future modality will require its own information and acceptance; it will not be activated as a consequence of accepting these Terms.

Payments are processed through Stripe or the provider identified for the transaction. Platicas receives information necessary for reconciliation, receipts, refunds, fraud prevention, and disputes. Full card details are provided through the processor’s interface, not as a field in your Platicas profile.

We may change prices, promotions, and modalities for future transactions. We may not retroactively increase the price of a paid reservation. A payment that fails, expires, is reversed, or cannot be verified does not require Platicas to maintain an unpaid reservation, without prejudice to correcting a charge that has actually been received.

9. Rescheduling

The User may reschedule a Session only once when 24 hours or more remain before the start time then recorded and compatible availability exists. With less than 24 hours remaining, there is no ordinary rescheduling by the User. The payment or credit applied remains linked to the reservation; a valid rescheduling does not result in a second charge.

The Counselor has an independent rescheduling opportunity. The Counselor must coordinate the change with the User before making it. If the Counselor changes the time and you cannot accept the alternative, notify support: it will be treated as an incident attributable to the Counselor, not as a voluntary late cancellation by the User.

A change made by the Counselor does not consume the User’s own opportunity. Additional or exceptional requests are reviewed by support; there is no obligation to grant exceptions at will or to reproduce an exception granted in another case.

10. Cancellations, attendance, and failures

10.1 User cancellation with 24 hours or more. A Session Credit is granted as recovery of the reservation. If you used a credit, the corresponding right is restored without duplication. When the reservation involved a monetary payment, you may request the monetary alternative under Section 12 before using the associated credit for a new reservation.

10.2 Cancellation with less than 24 hours. Ordinarily, neither the price nor the applied credit is restored: the time slot was reserved and the cancellation is late. Platicas may authorize exceptions based on substantiated circumstances. This rule does not eliminate any refund or revocation right that is mandatory by law.

10.3 User delay or no-show. You must connect at the reserved time. There is an operational access window of ten minutes from the scheduled start; after that time, the Session may be classified as a no-show and initial access may be closed. Late arrival does not extend the end time. A User no-show, including the absence of both participants, does not generate ordinary recovery in the User’s favor, unless there is a different legally cognizable cause.

10.4 Counselor cancellation or no-show. If the Counselor cancels or does not appear and you satisfy the attendance conditions, a Session Credit must be granted or restored and, when applicable, the monetary alternative. If more than ten minutes pass without the Counselor appearing and you decide not to continue, you may report it so that this treatment is applied.

10.5 Platform failures. A failure attributable to Platicas that substantially prevents receipt of the Session is addressed through replacement or refund and any other consequences required by law. The technical incident and its cause may require review before recovery is credited; not all failures are detected automatically.

10.6 External incidents and attendance disputes. Automatic recovery does not apply to problems attributable exclusively to the User’s device, permissions, connection, or environment. If there are concurrent causes, a logging error, or a disagreement about what occurred, support will analyze the available elements. Classifications may be clarified based on logs and other relevant evidence.

11. Session Credits: scope and limits

A “Session Credit” is a personal right granted by Platicas to reserve an eligible standard Session without a new payment. It is not purchased, is not money or a bank balance, is not transferable, and cannot be sold, withdrawn, earn interest, or be freely exchanged for cash. The refund alternative for an original payment is different from withdrawing the credit.

Recovery credits may accumulate and have no ordinary expiration date. They cover one eligible Session, without generating change, residual value, or a refund of differences. You may keep a credit and pay for another reservation. Use requires availability and an account enabled to contract.

When applied to a confirmed reservation, the credit ceases to be available for another transaction. The replacement reservation is subject to these same rules. An eligible cancellation or a new failure that warrants replacement restores the corresponding right, without multiplying compensation for the same event.

We may correct duplicates, errors, and credits obtained through fraud, manipulation, or double recovery, and suspend their use during a substantiated investigation. A legitimate disagreement, claim, or price change does not justify deleting valid credits.

Courtesy, trial, or promotional credits that do not arise from a payment or legal obligation may be subject to the specific conditions disclosed when granted. They do not, by themselves, generate a monetary refund. We will not retroactively apply new restrictions to recovery rights already issued.

If the ability to use a valid credit arising from a paid reservation is permanently discontinued, Platicas will address the outstanding rights through an accepted equivalent solution or the remedy required by law. Platicas is not obligated to maintain a particular Counselor or interface indefinitely.

12. Refunds and absence of double recovery

To request a refund, you may use the mechanism available for the associated credit or write to support. The ordinary request requires that there be a recoverable original payment and that you have not used the associated credit to contract another reservation. The request and its review may place the credit on hold to prevent it from being used and refunded simultaneously.

If the refund is approved, Platicas cancels the equivalent recovery right and instructs the refund to the original method, unless there is a technical impossibility or another solution permitted by law. The subsequent posting time also depends on the processor and financial institution; this does not permit Platicas to unduly delay the instruction for which it is responsible.

The mere automatic granting of a credit does not amount to waiving money that must be refunded. Applying it to another reservation likewise does not eliminate mandatory rights if that new service fails. A replacement Session actually received is taken into account to avoid duplicating restitution for the same concept; it does not eliminate any additional bonus or remedy that is legally required.

When Article 56 of the Federal Consumer Protection Law applies, revocation within five business days from delivery or signing of the agreement, whichever occurs later, is respected in accordance with its conditions and exceptions. For services, that provision excludes those scheduled to be provided within the ten business days following the purchase order. Accordingly, no general and unconditional five-day period is offered for cancelling any appointment.

These rules do not reduce mandatory refunds, bonuses, compensation, or damages. A courtesy, clarification, credit, or refund does not by itself constitute an admission of liability or permanently modify the conditions of other reservations.

13. Voluntary contributions to Counselors

When the feature is enabled, after a completed Session you may send a voluntary contribution to the Counselor, identified in the App as a “Donation.” It is independent of the price paid to Platicas, is not mandatory, and does not condition the service. The Counselor is prohibited from demanding it or exerting pressure to receive it.

The contribution is processed through the Counselor’s connected Stripe account and may be subject to processor fees, controls, refunds, disputes, or restrictions. Platicas currently does not retain its own commission from it. Any future Platform commission must be disclosed and accepted before the transaction to which it applies.

The word “Donation” describes a voluntary contribution; it does not establish that the recipient is an authorized donee organization and does not promise deductibility, tax exemption, or a tax-deductible donation receipt. Platicas does not guarantee that a bank or Stripe will authorize, release, or deliver funds on a particular date.

A confirmed contribution cannot be cancelled merely because of a change of mind, without prejudice to rights that may apply in cases of duplication, error, unauthorized transaction, impossibility of delivery, or legal mandate. Platicas may facilitate clarification; the reversal mechanism depends on the transaction and the payment provider.

14. Artificial intelligence summaries and notes

The feature is optional for the User and is subject to the applicable consent. When enabled, the Session audio is processed, even if the call uses video, to produce a summary intended for the User and a separate note intended for the participating Counselor. Both texts derive from the conversation and may contain personal information about the people involved. For this reason, the Counselor does not receive access to the exact private text intended for the User, but rather to the Counselor’s own note.

Automatic capture may begin when the first participant connects and may include the waiting interval inside the room. No video recording is stored for this feature. Temporary audio and the technical transcript are processed through specialized infrastructure and providers.

Audio deletion is carried out through periodic processes after processing, or when it is no longer necessary to complete or justifiably retry generation. It is not an instantaneous deletion when the summary appears, nor a guarantee of simultaneous deletion of all technical records held by each provider.

You may disable the preference for future captures that have not yet begun. This does not delete prior texts or reverse processing already begun. If you need to revoke consent with respect to a Session in progress, stop communicating information in it and contact support to manage the request; do not assume that changing a preference outside the room by itself stops a capture already in progress.

The App does not currently offer a feature to manually delete each individual summary. You may request access, rectification, cancellation, or objection with respect to personal data contained in the texts by writing to admin@platicasprofundas.com, in accordance with the Privacy Notice. You do not need to delete your entire account to make that request.

AI-generated texts may contain omissions, inferences, or errors, including about what someone said. They are not certified transcripts, clinical records, professional assessments, or irrefutable evidentiary records. We do not guarantee their availability or absolute accuracy. You must not base important decisions exclusively on them. Their use does not grant authorization to disclose another person’s data.

15. Conversation privacy and User conduct

Participate from a private space and avoid revealing unnecessary third-party data. You may not externally record, photograph, retransmit, publish, or allow third-party access to the Session without valid authorization from the persons involved and compliance with the law. This rule does not prohibit preserving or presenting evidence that a legal provision authorizes.

Harassment, threats, discrimination, exploitation, sexual or coercive conduct, fraud, impersonation, unauthorized commercial solicitation, manipulation of reviews, requests for illegal activities, and abusive use of promotions, payments, or credits are prohibited. You may not obtain or use Counselor data for harassment, marketing, or contact unrelated to the authorized purpose.

You may not introduce malicious programs, interfere with systems, bypass controls, automate information extraction, or conduct vulnerability testing without written authorization. A good-faith security report does not constitute authorization to access another person’s data.

16. External interactions and absence of representation

Platicas does not organize in-person meetings or arrange private services on behalf of participants. Interactions outside the Platform and transactions entered into without using its mechanisms are not part of the service contracted from Platicas.

A Counselor may not promise you refunds, results, regulated services, or special protection on behalf of Vestvired. The consequences of external or unauthorized acts are borne by those who perform them to the extent of their responsibility. This limitation does not exclude any obligation of Platicas that the law links to the facts.

17. Content, reviews, and intellectual property

You must have sufficient rights to the content you contribute. Reviews must correspond to real experiences and may not include another person’s sensitive data, threats, unlawful content, undisclosed advertising, or deliberately false accusations. Platicas may moderate, remove, or limit content due to breach, risk, or infringement of rights, without undertaking to review all content before publication.

You retain the rights that legally correspond to you in your content. You grant a non-exclusive, royalty-free, worldwide license, sublicensable to the providers necessary to host it, reproduce it, technically adapt it, display it to the recipients of the feature, and administer it for the time necessary to operate, protect, and substantiate the service. This license does not make your personal data the property of Platicas and does not authorize advertising or AI training incompatible with the Privacy Notice.

The trademarks, software, interfaces, designs, documentation, and other proprietary elements of the Platform belong to Vestvired or its licensors. You receive a personal, limited, non-transferable, and revocable license under these Terms to use the authorized features. Commercial exploitation, copying, mass extraction, or reverse engineering is not permitted, except where mandated by law or authorized in writing.

18. Communications and support

We may send you necessary communications regarding your account, reservations, payments, security, incidents, and applicable changes. Reminders are auxiliary: a delay in or failure to receive them does not by itself modify the reservation or excuse attendance. This does not eliminate the effects of a notice that Platicas was legally required to provide.

Promotions and secondary uses of data are subject to the Privacy Notice and the corresponding opt-out options. Support is not an emergency service and does not promise uninterrupted availability. For inquiries, identify your account, reservation, and relevant facts, while avoiding sending unnecessary intimate information.

19. Security, suspension, and account closure

We may prevent new transactions, limit features, remove content, suspend, or close an account when there is a breach, fraud, security risk, materially false information, use by a minor, an order from an authority, or an objective need to protect persons or systems. In the event of urgent risk, measures may be taken without prior notice. We will provide the information that is appropriate without revealing third-party data, security methods, or legally restricted information.

We may also remove features or discontinue the Platform offering for future transactions for operational reasons. Paid reservations and outstanding rights that are affected will be addressed in accordance with these conditions and the law.

You may request closure through the account deletion option or by email. Uninstalling the App does not delete the account. Closure does not extinguish prior obligations and does not imply immediate destruction of all records; subsequent processing is governed by the Privacy Notice. Account deletion may not be used to obtain duplicate recovery or to prevent a legitimate claim.

20. Delimitation of Platicas liability

Platicas does not contractually assume the obligation to guarantee the acts of others or a spiritual, emotional, or personal result. Accordingly, by virtue solely of its status as operator, Platicas is not responsible for the opinions, decisions, false statements, unlawful acts, or breaches of a Counselor or User, nor for the consequences of external relationships that it did not organize or assume.

An unmet subjective expectation, a difference in beliefs, a User choice, a restriction imposed by the User’s bank, or a problem caused exclusively by the User’s device, connection, permissions, or environment do not by themselves constitute breaches by Platicas. Liability depends on the cause, the obligations actually assumed, and the law, not simply on the fact that the contact originated in the App.

When damage results from your breach, from an exclusive external cause that is not legally attributable to Platicas, or from force majeure with exonerating effects, Platicas may assert those circumstances and any other applicable legal defenses.

Uninterrupted operation, complete absence of errors, and compatibility with every device are not guaranteed. The foregoing limitations apply within mandatory rules and do not exclude Platicas’s own liability or any rights and remedies that must legally be recognized.

Platicas retains the right to contest causation, the existence and amount of damages, duplications, and non-compensable items. Claims will be assessed under the legal rules governing evidence and reparation, without automatically attributing to the Platform losses unrelated to a breach attributable to it.

21. Responsibility for User acts and payment disputes

You will be responsible for legally recoverable damages and expenses arising from your unlawful acts, fraud, violation of third-party rights, unauthorized recordings, or breaches attributable to you. This obligation does not make you responsible for Platicas’s own acts and does not constitute an automatic penalty for filing a complaint.

You may go directly to your bank or the competent authority. Contacting support first may facilitate clarification, but it is not a prerequisite for exercising rights or bringing actions. Platicas may provide relevant evidence of contracting, payment, and performance, and may claim amounts obtained through fraud or double recovery. Shared evidence must be relevant to the dispute and processed in accordance with the Privacy Notice.

22. Platform changes and future contracting

We may develop, reorganize, replace providers, update technical requirements, and modify the offering for future transactions, within the disclosed purposes and the law. We do not guarantee that every free or experimental feature will remain available. Removal of a feature does not permit failure to perform a paid service already offered as part of a reservation.

Contract amendments will be published with their date and communicated through the appropriate means. When they affect an existing relationship and require assent, they must be validly accepted. Publishing a new version or continuing to browse does not replace legally required express consent and does not modify an agreement already entered into without a valid basis.

23. Law, claims, and jurisdiction

The relationship is governed by applicable Mexican law, including federal rules on consumer protection, personal data, and electronic contracting and, when applicable, the laws of Chihuahua. The User may go to the Federal Consumer Protection Agency or the competent authority without first exhausting a private procedure.

Judicial disputes will be submitted to the competent Mexican courts. The courts of Chihuahua, Chihuahua, may hear the matter when that jurisdiction is legally valid; the User is not deprived of any non-waivable forum or procedure.

24. Final provisions

Assignment and continuity. Vestvired may transfer its contractual position in a merger, reorganization, or transfer of the business when the successor assumes the obligations and legal requirements are met. Such transfer does not authorize incompatible uses of personal data. The User may not assign the account or reservations without authorization.

Agreement and representation. No personal guarantees by shareholders, directors, or team members are created solely because they participate in operating the Platform. This clarification does not eliminate liabilities that the law assigns to them for their own acts.

Interpretation. If a provision is invalid, it will not apply to the prohibited extent, and the remainder will remain in force when it can survive. Failure to exercise a right does not constitute waiver. A courtesy exception does not establish a general obligation.

Language and survival. The Spanish version governs the offering in Mexico, without disregarding binding information actually contracted. Depending on their nature, obligations concerning confidentiality, intellectual property, outstanding payments, responsibility for prior acts, legally required retention, and dispute resolution survive.
